Terms of Service.

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of LegisDex and related services, websites, and applications (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and Accounts

• You must provide accurate registration information.
• Authentication methods may include email/password sign-in and Google sign-in, depending on what is available on the Service.
• You are responsible for maintaining account confidentiality and all activity under your account.
• Some account-security features depend on the sign-in method used for your account. For example, password-based accounts may enable two-factor authentication, and enabling that security control may restrict Google sign-in for the same email address.
• You must promptly notify us at info@legisdex.com if you suspect unauthorized access.
• You may not share credentials or access the Service through unauthorized methods.

3. Service Scope and AI Output

LegisDex provides AI-assisted responses and workflows for contract and project-delivery support. Current product areas include chat, compliance playbooks and contract review flows, the tracker workspace, account settings, optional notifications and digests, and read-only chat sharing. The Service may generate incomplete, inaccurate, or outdated output.

• AI output is provided for informational assistance only and is not legal, engineering, financial, or professional advice.
• You are solely responsible for reviewing and validating output before relying on it.
• You remain responsible for decisions, deliverables, notices, and filings made using the Service.

4. User Content, Files, and Shared Links

You may submit prompts, messages, files, contracts, playbooks, project records, and other content ("User Content"). You retain your rights in User Content.

You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and use User Content solely to provide, secure, maintain, and improve the Service, and to comply with law.

If you create a shared chat link, that link creates a read-only page that may be accessed by anyone who has the tokenized URL until the link is revoked or expires. You are responsible for deciding what content you share through that feature.

5. Acceptable Use

You agree not to use the Service to:

• Violate applicable laws, regulations, or court orders.
• Infringe intellectual property, privacy, or other third-party rights.
• Upload, analyze, or share content unless you have the rights and authority to do so.
• Upload malware, attempt unauthorized access, or disrupt system integrity.
• Reverse engineer, scrape at scale, or bypass usage limits, security controls, or billing controls.
• Use the Service for harmful, fraudulent, deceptive, or abusive conduct.

6. Plans, Billing, and Payments

Paid features are billed through third-party payment processors (including Stripe). By purchasing a paid plan, you authorize recurring charges where applicable. You are responsible for all taxes and fees associated with your subscription. Access to certain models or features may depend on your plan or subscription status. Unless required by law, payments are non-refundable once billed.

7. Suspension and Termination

We may suspend or terminate access if we reasonably believe you violated these Terms, posed a security risk, or used the Service unlawfully. You may stop using the Service at any time. Sections that reasonably should survive termination will continue to apply.

8. Intellectual Property

The Service, including software, design, text, logos, and features, is owned by or licensed to LegisDex and protected by intellectual property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

To the maximum extent permitted by law, LegisDex and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, data, or goodwill. Our aggregate liability for claims relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

11. Indemnity

You agree to defend, indemnify, and hold harmless LegisDex and its affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate. Continued use of the Service after updates means you accept the revised Terms.
